(1)On May 24, 2021, the Reporting Person (as defined below) sold 700,000 shares of common stock of the Issuer (as defined below) to a buyer pursuant to a stock purchase agreement. In connection with this agreement, the buyer executed an irrevocable proxy providing that the Reporting Person may vote and exercise all voting and related rights with respect to the shares. The irrevocable proxy will automatically terminate with respect to any shares that the buyer sells in a transaction or series of transactions on any national securities exchange or other trading market on which the shares then trade. On or around November 16, 2021, an order to transfer 200,000 of the shares by the buyer in a private sale to another holder was approved by the Reporting Person, the Issuer and the representative of the underwriters of the initial public offering of the Issuer (as defined below), and was processed by the Issuer’s transfer agent notwithstanding that such shares were not sold on a national securities exchange. Due to the current or potential shared voting powers that the Reporting Person retained over the remaining 500,000 shares that he had sold to and were still held by the buyer, these shares are included in the Reporting Person’s beneficial ownership, and the Reporting Person is considered to have shared voting power over these shares. The Reporting Person disclaims beneficial ownership over these shares except to the extent of his pecuniary interest therein. In addition, on November 8, 2021, the Reporting Person agreed that for a period of 180 days, without the prior written consent of the representative of the underwriters of the initial public offering of the Issuer, and subject to certain exceptions, he will not, directly or indirectly, (i) offer, pledge, sell, contract to sell, grant, lend, or otherwise transfer or dispose of, directly or indirectly, any common stock of the Issuer or any securities convertible into or exercisable or exchangeable for the common stock of the Issuer, whether then owned or thereafter acquired by the Reporting Person or with respect to which the Reporting Person had or thereafter acquires the power of disposition; (ii) enter into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of such securities; (iii) make any demand for or exercise any right with respect to the registration of any such securities; or (iv) publicly disclose the intention to make any offer, sale, pledge or disposition, or to enter into any transaction, swap, hedge or other arrangement relating to any such securities.
