Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 12, 2024, Sheila Johnshoy resigned from her position as Chief Operating Officer of the Company. Ms. Johnshoy’s resignation was not the result of any disagreement with the Company’s operations, policies, or practices.
